Transaction Participants
- Genencor International was acquired by Danisco A/S in April 2005. Following the acquisition, Danisco A/S made the decision to spin-out Genencor’s health care assets, which were focused on oncology therapeutics.
- Cambridge Antibody Technology is a UK based biopharmaceutical company focused on developing human monoclonal antibody therapeutics. With the acquisition of Genencor’s health care assets, CAT established its first US operation.
Burrill & Company’s Role
- The Merchant Banking Group served as the exclusive advisor for Danisco A/S in its divestiture of Genencor’s health care assets (which included a team of people and pre-clinical and clinical stage programs)
- In the spin out, Burrill & Company pursued parallel venture capital and M&A paths.
- CAT hired the team and acquired the assets
- The time between the initiation of the engagement and the close of the transaction with CAT was 6 months.
